Welcome to TaxMaker. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TaxMaker Inc. ("TaxMaker," "we," "us," or "our"). By creating an account, accessing our website, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

1. Acceptance of Terms

By accessing or using TaxMaker's services, you represent and warrant that:

  • You are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater
  • You have the legal capacity to enter into a binding agreement
  • If you are using the service on behalf of a business entity, you have the authority to bind that entity to these Terms
  • Your use of the service will comply with all applicable federal, provincial, state, and local laws and regulations
  • All registration information you provide is accurate, current, and complete

These Terms apply to all visitors, users, and others who access or use TaxMaker. Additional terms and conditions may apply to specific features, services, or promotions, and such additional terms will be disclosed to you in connection with those features or services.

2. Description of Services

TaxMaker provides a comprehensive suite of financial tools and services designed to help individuals and businesses manage their finances effectively. Our services include:

2.1 Tax Preparation Services

  • T1 Personal Income Tax Returns: Comprehensive preparation of Canadian personal income tax returns, including calculation of income from all sources, eligible deductions and credits, and generation of CRA-ready documents
  • T2 Corporate Income Tax Returns: Business tax return preparation for Canadian corporations, including financial statement integration, CCA calculations, and shareholder information reporting
  • Tax Calculations: Real-time federal and provincial tax calculations based on current tax rates and brackets
  • Document Generation: PDF export of completed tax returns and supporting schedules for your records
  • Prior Year Data: Secure storage and retrieval of previous tax returns for reference and data import

2.2 Financial Calculators

We offer a suite of free financial calculators that operate entirely in your browser:

2.4 Service Availability

While we strive to maintain continuous service availability, TaxMaker is provided on an "as available" basis. We may occasionally need to perform maintenance, updates, or face technical difficulties that could temporarily affect service availability. We will make reasonable efforts to provide advance notice of scheduled maintenance when possible.

3. User Accounts and Security

To access certain features of TaxMaker, particularly our tax filing services, you must create an account. Account creation and maintenance comes with certain responsibilities:

3.1 Account Registration

  • You must provide accurate, current, and complete registration information
  • You must update your account information promptly if it changes
  • You may only create one account per person
  • You may not transfer your account to any other person or entity
  • Business accounts must be registered by an authorized representative

3.2 Account Security

  • You are responsible for maintaining the confidentiality of your login credentials
  • You must use a strong, unique password for your TaxMaker account
  • You must notify us immediately of any unauthorized access or security breach
  • You accept responsibility for all activities that occur under your account
  • You should log out completely when accessing from shared or public computers

3.3 Our Security Measures

We implement robust security measures including encryption (TLS 1.3 in transit, AES-256 at rest), secure authentication, regular security audits, and strict access controls. However, no system is completely secure. By using TaxMaker, you acknowledge that you understand and accept the inherent risks of transmitting information over the internet.

4. User Responsibilities

Your use of TaxMaker comes with important responsibilities. You acknowledge and agree to the following:

4.1 Accuracy of Information

  • You are solely responsible for the accuracy, completeness, and truthfulness of all tax information and other data you enter into TaxMaker
  • You must verify all calculations and information before filing with the Canada Revenue Agency or any other tax authority
  • Providing false or misleading information may constitute tax fraud and is subject to severe legal penalties
  • You should retain copies of all source documents (T4 slips, receipts, etc.) to support your tax return

4.2 Tax Filing Responsibility

  • You are responsible for submitting your tax returns to the appropriate tax authorities (CRA, provincial tax agencies) through official channels
  • You are responsible for ensuring your tax returns are filed by applicable deadlines
  • You are responsible for paying any taxes owed by the required due dates
  • You are responsible for responding to any inquiries or assessments from tax authorities

4.3 Legal Compliance

  • You must comply with all applicable tax laws, regulations, and filing requirements
  • You must maintain records as required by law (typically 6-7 years for tax records in Canada)
  • You must not use TaxMaker to file fraudulent tax returns or facilitate tax evasion
  • You understand that tax laws are complex and change frequently; you should consult a tax professional for complex situations

This section is critically important to understand before using TaxMaker:

  • The calculations, estimates, and information provided by TaxMaker are for informational and educational purposes only
  • TaxMaker does not provide personalized tax advice or tax planning recommendations
  • Our tools help you organize and calculate your taxes, but they cannot replace professional judgment
  • Tax laws vary by jurisdiction and change frequently; our software may not reflect the most recent changes

5.1 When to Seek Professional Help

We strongly recommend consulting a qualified tax professional if:

  • You have complex income sources (foreign income, stock options, trusts, partnerships)
  • You own a business or are self-employed with significant revenue
  • You have experienced major life events (marriage, divorce, death of spouse, immigration)
  • You have real estate transactions or significant investment income
  • You are claiming unusual or large deductions
  • You have been contacted by the CRA regarding an audit or reassessment
  • You have prior unfiled tax returns or tax debts
  • You are unsure about any aspect of your tax situation

6. Fees and Payment

TaxMaker offers both free and paid services. Understanding our pricing and payment terms:

6.1 Free Services

Our financial calculators, educational guides, blog content, and AI tool reviews are completely free to use. No account is required to access these resources, and there are no hidden fees or upsells. These services will remain free.

6.2 Paid Services

  • Tax filing services (T1 and T2 returns) may be subject to fees as displayed at the time of purchase
  • All fees are displayed in Canadian dollars unless otherwise specified
  • Fees are subject to applicable taxes (GST/HST/PST)
  • Payment is required before final tax return generation and filing
  • We accept major credit cards and other payment methods as displayed

6.3 Refund Policy

Due to the nature of tax preparation services (digital products that cannot be "returned"), refunds are generally not available once you have accessed or downloaded your completed tax return. However, we will consider refund requests on a case-by-case basis if there are genuine errors or issues with our service. Please contact support@taxmaker.ca within 30 days of purchase.

7. Limitation of Liability

To the maximum extent permitted by applicable law, you understand and agree to the following limitations:

7.1 Service Provided "As Is"

TaxMaker and all services, content, and features are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

7.2 Limitation of Damages

  • TaxMaker is not liable for any errors, omissions, or inaccuracies in tax calculations that result in underpayment, overpayment, penalties, or interest
  • TaxMaker is not liable for any consequences arising from your failure to file taxes correctly or on time
  • TaxMaker is not liable for any indirect, incidental, special, consequential, or punitive damages
  • TaxMaker is not liable for loss of profits, data, use, goodwill, or other intangible losses
  • Our total aggregate liability shall not exceed the greater of (a) the amount you paid for services in the 12 months preceding the claim, or (b) $100 CAD

7.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

8. Intellectual Property Rights

Understanding who owns what when you use TaxMaker:

8.1 Our Intellectual Property

All content, features, functionality, software, text, graphics, logos, icons, images, and design elements of TaxMaker are owned by TaxMaker Inc. or our licensors and are protected by Canadian and international copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services without explicit written permission.

8.2 Your Content

You retain full ownership of all tax information, financial data, and other content you submit to TaxMaker. By submitting content, you grant us a limited, non-exclusive license to use that content solely for the purpose of providing our services to you. We will never sell your data or use it for purposes other than providing our services.

8.3 Feedback

If you provide suggestions, ideas, or feedback about TaxMaker, we may use that feedback without obligation to compensate you, and you grant us an irrevocable, perpetual, worldwide license to use such feedback for any purpose.

9. Prohibited Uses

You agree not to engage in any of the following prohibited activities:

  • Tax Fraud: Using TaxMaker to file fraudulent tax returns, underreport income, claim false deductions, or otherwise evade taxes
  • Unauthorized Access: Attempting to gain unauthorized access to our systems, user accounts, or secure areas of the website
  • System Interference: Interfering with, disrupting, or placing undue burden on our servers, networks, or infrastructure
  • Automated Access: Using bots, scrapers, or automated systems to access our services without prior written permission
  • Impersonation: Impersonating another person, misrepresenting your identity, or using someone else's credentials
  • Reverse Engineering: Attempting to decompile, reverse engineer, or extract source code from our software
  • Commercial Exploitation: Using our free services for commercial purposes without permission, or reselling our services
  • Malicious Content: Uploading or transmitting viruses, malware, or other malicious code
  • Illegal Activities: Using TaxMaker in connection with any illegal activity or in violation of any applicable laws

Violation of these prohibited uses may result in immediate termination of your account and may be reported to appropriate authorities.

10. Termination

Understanding how your relationship with TaxMaker can end:

10.1 Termination by You

You may close your account at any time by contacting us at support@taxmaker.ca or through your account settings. Upon account closure, you will lose access to your stored tax returns (we recommend downloading copies first). Certain data may be retained as required by law or for legitimate business purposes as outlined in our Privacy Policy.

10.2 Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without cause, including but not limited to:

  • Violation of these Terms of Service
  • Engaging in prohibited activities
  • Suspected fraudulent activity
  • Extended period of account inactivity
  • Request by law enforcement or government agency
  • Discontinuation of our services

10.3 Effect of Termination

Upon termination, your right to use TaxMaker services ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, limitations of liability, indemnification, and governing law) shall survive termination.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. When we make changes:

  • We will update the "Last updated" date at the top of these Terms
  • For material changes, we will notify you via email (if you have an account) and/or through a prominent notice on our website
  • Your continued use of TaxMaker after changes become effective constitutes acceptance of the modified Terms
  • If you do not agree to the modified Terms, you must stop using TaxMaker and close your account

We encourage you to review these Terms periodically. For significant changes that materially affect your rights, we will provide at least 30 days' notice before the changes take effect.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Canada:

12.1 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Canada and the Province of Ontario, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12.2 Dispute Resolution

Before pursuing formal legal action, you agree to attempt to resolve disputes informally by contacting us at legal@taxmaker.ca. We will attempt to resolve the dispute within 30 days. If informal resolution fails:

  • Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada
  • You consent to personal jurisdiction in these courts
  • Class action lawsuits are waived to the extent permitted by law

13. General Provisions

13.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13.2 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and TaxMaker regarding your use of our services. These Terms supersede any prior agreements or communications.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by TaxMaker.

13.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
